Affiliate Program Terms

These Affiliate Program Terms ("Affiliate Terms") are a supplement to the DirectCryptoPay Terms of Service ("Main Terms") and govern your participation in the DirectCryptoPay Affiliate Program ("Program") operated by DirectCryptoPay LLC ("DCP", "we", "us"). By clicking "Join the Program", you ("Affiliate", "you") accept these Affiliate Terms. In the event of conflict, the Main Terms prevail except as expressly superseded herein.

1. Eligibility

Participation in the Program is open to any user with an active DirectCryptoPay account in good standing. You must be at least 18 years old and have the legal capacity to enter into a binding agreement in your jurisdiction. DCP may refuse, suspend, or terminate any Affiliate account at its sole discretion, including for violations of these Affiliate Terms or applicable law.

2. Commission Structure

DCP pays the Affiliate a commission equal to twenty percent (20%) of the net amount (after refunds, chargebacks, and taxes) actually received by DCP from a Referred Merchant's Pro-tier subscription payments, for a period of twelve (12) months starting from the Referred Merchant's first paid Pro-tier invoice (the "Earning Window"). No commission accrues on free tiers, trial periods, unpaid invoices, or subscriptions outside the Earning Window.

DCP may revise the commission rate or Earning Window at any time with thirty (30) days' prior notice. Revisions apply only to commissions accruing after the effective date; previously accrued commissions are honored at the rate in effect when earned.

3. Attribution

Attribution is first-click with a 90-day cookie window. A "Referred Merchant" is a new user who (i) clicks your referral link, (ii) creates a DirectCryptoPay account within ninety (90) days of that first click without subsequently clearing the attribution cookie or clicking a different Affiliate's link (whichever comes first), and (iii) is not you or an entity you control. Commission is paid on the first Pro conversion of the Referred Merchant; subsequent tenants or workspaces created by the same user do not generate duplicate referrals.

4. Prohibited Practices

You must not, directly or indirectly:

  • Refer yourself, your own accounts, or accounts for entities you control ("self-referral").
  • Engage in unsolicited bulk email, SMS, or push messaging ("spam"), or post referral links on forums, comment sections, or marketplaces in violation of their terms of service.
  • Make false, deceptive, or misleading claims about DirectCryptoPay, its features, its pricing, its regulatory status, or its security model.
  • Bid on or use the DirectCryptoPay brand name, trademarks, or close variants ("directcryptopay", "direct crypto pay", "DCP Pay", etc.) in paid search advertising or domain names.
  • Impersonate DirectCryptoPay, its employees, or any affiliated party, or create websites, materials, or communications that could reasonably be mistaken for official DCP properties.
  • Use DirectCryptoPay logos, trade dress, or proprietary graphics except as expressly authorized in Section 6 below.
  • Manipulate tracking (cookie stuffing, iframe injection, forced clicks, scripted redirects) or otherwise attempt to generate attribution fraudulently.
  • Target audiences in jurisdictions where DirectCryptoPay does not offer service, or promote the Service in a manner prohibited by applicable law.

Violation of this Section 4 is cause for immediate suspension, forfeiture of unpaid commissions, and termination of the Affiliate account.

5. Disclosure Obligations

You must comply with all applicable advertising, consumer-protection, and endorsement-disclosure laws in every jurisdiction where you promote the Service, including without limitation the U.S. Federal Trade Commission Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 C.F.R. Part 255) and, in France, the provisions of the Code de la consommation enforced by the Direction générale de la concurrence, de la consommation et de la répression des fraudes (DGCCRF). You must clearly and conspicuously disclose your affiliate relationship (e.g., "#affiliate", "I earn a commission if you sign up through this link") in any content promoting DirectCryptoPay.

6. Brand Usage

Subject to these Affiliate Terms, DCP grants you a limited, non-exclusive, non-transferable, revocable license to (i) reference the DirectCryptoPay name in editorial and marketing content, and (ii) link to public DCP web properties. You must not (a) use the DirectCryptoPay logo, wordmark, or trade dress without prior written authorization, (b) register domain names containing "directcryptopay" or confusingly similar terms, (c) create content that appears to originate from DCP, or (d) apply for trademark registrations that include DCP marks. Any authorized use must reflect the current visual identity and must not suggest endorsement of third-party products.

7. Payment Terms

Commissions accrue in PENDING status when the underlying invoice is paid. After a thirty (30) day buffer (to cover refunds and chargebacks), PENDING commissions automatically transition to APPROVED. You may request a payout once your APPROVED balance reaches the minimum threshold of USD $50.00 (5,000 cents).

Payouts are denominated in USDC and settled on one of the following chains, at your election: Base, Polygon, or Ethereum. You are solely responsible for providing a valid, non-custodial EVM address under your sole control and for verifying that address before each payout request. DCP is not liable for funds sent to an incorrect, compromised, or unreachable address you provided.

Payouts are processed manually within five (5) business days of request. Blockchain network (gas) fees incurred by DCP when settling a payout may be deducted from the payout amount and disclosed in the payout record. DCP may add, modify, or remove supported payout chains from time to time with reasonable notice.

8. Refunds, Chargebacks, and Churn

If a Referred Merchant's payment is refunded or successfully charged back before the associated commission reaches APPROVED status, that commission is cancelled. If a refund or chargeback is processed after APPROVED status but before payout, DCP will reverse the commission from the available balance. If reversal occurs after payout, DCP may deduct the amount from future commissions or invoice you for the deficit.

If a Referred Merchant cancels or downgrades from the Pro tier, no further commissions accrue beyond the cancellation date. Previously earned commissions are not affected, subject to the refund and chargeback reversals described above. If the same Referred Merchant resubscribes to Pro within the original twelve (12) month Earning Window, commissions resume until the window closes.

9. Taxes

You are solely responsible for all taxes, duties, levies, and social contributions arising from your participation in the Program, including income tax, self-employment tax, and VAT where applicable. DCP does not withhold taxes. For U.S. persons whose cumulative annual payments exceed USD $600, DCP may require a completed Form W-9 (U.S.) or Form W-8BEN / W-8BEN-E (non-U.S.) before further payouts may be issued and may issue a Form 1099 as required by law.

10. Independent Contractor Relationship

You are an independent contractor. Nothing in these Affiliate Terms creates an employment, partnership, joint venture, franchise, or agency relationship between you and DCP. You have no authority to bind DCP, incur obligations on DCP's behalf, or make representations beyond the factual description of the Service on official DCP properties.

11. Suspension and Termination

DCP may suspend or terminate your participation in the Program at any time, with or without cause, upon notice to the email address associated with your account. Termination for cause (including violations of Section 4 or 5, fraud, misuse of the Service, or breach of the Main Terms) may result in immediate forfeiture of unpaid commissions. Termination without cause does not forfeit APPROVED commissions that meet the payout threshold.

You may leave the Program at any time by written notice to affiliates@directcryptopay.com. Accrued and APPROVED commissions will be paid per Section 7.

12. Modifications to the Program

DCP may modify these Affiliate Terms, the commission rate, the Earning Window, the payout threshold, the set of supported payout chains, or any other element of the Program at any time. Material changes will be communicated with at least thirty (30) days' prior notice by email or dashboard notification. Your continued participation after the effective date constitutes acceptance of the revised terms.

13. Confidentiality

Non-public information shared with you in connection with the Program (including referral analytics, commission breakdowns, Program strategy, and any beta features) is confidential and may not be disclosed or used outside the Program without DCP's prior written consent.

14. Data Protection

Any personal data processed in connection with the Program is handled under the DCP Privacy Policy. You warrant that any personal data you transmit to DCP (including data of leads you refer) has been collected lawfully and that the data subjects have received any notices and provided any consents required by applicable law.

15. Limitation of Liability; Indemnity

To the maximum extent permitted by law, DCP is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenues, or lost goodwill, arising out of or related to the Program. DCP's aggregate liability under these Affiliate Terms is limited to the total commissions paid to you in the twelve (12) months preceding the claim.

You agree to indemnify and hold harmless DCP, its affiliates, and their respective officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of (i) your breach of these Affiliate Terms, (ii) your promotional activities, or (iii) your violation of any law or third-party rights.

16. Governing Law and Dispute Resolution

These Affiliate Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Affiliate Terms shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

17. Entire Agreement; Severability

These Affiliate Terms, together with the Main Terms and the Privacy Policy, constitute the entire agreement between you and DCP regarding the Program and supersede all prior or contemporaneous agreements. If any provision is held unenforceable, the remaining provisions remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to be enforceable.
